This agreement
These terms govern your use of PartsManage, software provided by Isloo Tech ("we", "us") of Islamabad, Pakistan.
By subscribing to the service, or by using it, you ("the Subscriber", "you") accept these terms on behalf of your business. If you are not authorised to accept them for your business, do not use the service.

What the words mean
- Service — the PartsManage application, in all its forms, together with setup, support and updates.
- Subscriber — the business that holds the subscription.
- Users — the people you create accounts for: owners, counter staff, accountants.
- Your Data — everything you put into the Service: your catalogue, parties, stock, invoices, payments and ledgers.
Accounts and users
You decide who gets an account and what each role can see. You are responsible for what your Users do with the Service, and for keeping passwords private. Accounts are for named people — sharing one login across the counter defeats the audit trail and we do not recommend it.
Tell us promptly if you believe an account has been compromised, and remove accounts for staff who leave. You can do both yourself from the Staff screen.
Acceptable use
You agree not to:
- use the Service for anything unlawful, or to store data you have no right to hold;
- attempt to break into, overload, probe or reverse-engineer the Service, or work around its access controls;
- resell, sublicense or offer the Service to third parties as if it were your own;
- upload malicious code, or anything that endangers other customers.
Subscription and fees
The Service is sold as a subscription per shop, billed in advance. Fees, the billing period and what is included are set out in the quotation or order we agree with you.
- Fees are exclusive of any applicable taxes, which you pay in addition.
- If an invoice remains unpaid, we will contact you first. We may suspend access if it stays unpaid for 30 days after the due date.
- We may change our prices by giving you at least 30 days' notice before your next renewal. If the new price does not suit you, you may end the subscription at the end of the current period.
Setup and data migration
Setup, training and importing your existing records are part of bringing you onto the Service. Migration depends on what you give us: we will import your catalogue, parties and opening balances from your spreadsheets or your previous software, and we will reconcile the totals with you before go-live.
You remain responsible for the accuracy of the records you hand over, and for confirming that the imported figures are right. Once you approve them, they become your opening position in the Service.
Your data stays yours
Your Data belongs to your business, not to us. We hold it to run the Service for you.
- You grant us only the permission needed to host, process, back up and display Your Data so the Service works, and to support you when you ask.
- We do not sell Your Data, show advertising against it, or share it with other dealers.
- You can export a full copy whenever you like, from inside the Service.
- After your subscription ends, you have 30 days to request an export. We then delete Your Data from live systems, and it ages out of encrypted backups within a further 30 days.
How we handle personal information is explained in our Privacy Policy.
Availability, support and updates
We aim to keep the Service available at all times, but no hosted service is uninterrupted. Planned maintenance is carried out in low-traffic hours and announced in advance where we reasonably can.
PartsManage is one hosted system used by every subscriber, so improvements and fixes are applied to everyone as they ship. This means the Service will change over time. We will not remove a significant feature you depend on without notice. If a change materially reduces the Service and you object, you may end your subscription and we will refund the unused part of what you have paid.
Confidentiality
Each of us may learn things about the other that are not public — your trading figures, our pricing and know-how. Both of us agree to keep such information confidential, use it only for this agreement, and protect it as carefully as our own. This does not apply to information that is already public, or that the law requires us to disclose.
Warranties and what we do not promise
We warrant that we will provide the Service with reasonable skill and care, by suitably capable people.
Beyond that, the Service is provided "as is". We do not warrant that it will be free of every defect, that it will meet every requirement you have in mind, or that it will be uninterrupted. PartsManage records and reports your business figures; it is not a substitute for your own checking, nor is it accounting, tax or legal advice. You remain responsible for your books and your filings.
Limitation of liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill. Our total liability arising out of this agreement in any twelve-month period is limited to the fees you paid us in that period.
We are not liable for loss of data where you have been able to export it and have chosen not to.
Suspension and ending the agreement
- You may end your subscription at the end of any billing period by telling us in writing.
- We may suspend access if fees remain unpaid, if the Service is being misused, or if continuing would put other customers at risk. Where the situation allows, we will warn you first.
- Either of us may end the agreement if the other commits a serious breach and does not put it right within 30 days of being asked.
- On termination, access stops and the data provisions above apply.
Events outside our control
Neither party is responsible for failing to perform because of something genuinely outside its control — including internet or power failure, failure of a hosting or telecoms provider, natural disaster, or action by a government authority. If such an event continues for more than 30 days, either party may end the agreement.
Governing law
This agreement is governed by the laws of the Islamic Republic of Pakistan. The courts at Islamabad have exclusive jurisdiction over any dispute, though nothing stops either of us from trying to settle a disagreement by discussion first — which we would much prefer.
Changes to these terms
We may update these terms as the Service develops. We will post the new version here and change the date at the top. Where a change materially affects your rights, we will tell you at least 30 days in advance by email or inside the application. Continuing to use the Service after that means you accept the new terms.
